Jamaican Teas Ltd. Corporate Governance Policy
Introdcution
Jamaican Teas Limited (‘the Company’) is a public company that is listed on the Jamaica Stock Exchange. It is required to comply with the provisions of the Companies Act of Jamaica and the rules established by the Jamaica Stock Exchange for listed companies. The directors and executive set policies and systems to ensure that the Company adheres to all applicable laws and regulations. The Company is also required to meet conditions and regulations under the various taxation policies of the Government of Jamaica and adhere to regulations set out by the state for the production of food and export of products. In order to function effectively, Jamaican Teas board oversees the companies within the group to ensure compliance with corporate governance policies and principles. The board comprises executive and non-executive members who have varying disciplines that complement the operations of the company. In addition, the board is supported by subcommittees whose responsibility includes audit, risk, finance marketing and compensation. The following statement of Corporate Governance policies were compiled with reference to the Private Sector Organization of Jamaica Code on Corporate Governance and the Corporate Governance Guidelines set out in the Jamaica Stock Exchange Rules. These policies were adopted by the Board of Directors of the Company on 11 July 2022
